
Compliance with Air Toxics Regulations. Acting on behalf of a potential purchaser, Sciences performed Phase I audits at 10 sites operated at by a metals parts coating company. At three sites, state regulations required air emissions controls which were not in place at the time of the audits. The potential liability to the purchaser was estimated in the region of 2 million dollars. Identification of this issue before the purchase was complete resulted in significant savings to the purchaser.
Assisting Client with RCRA Clean-Closure. Sciences performed a pre-acquisition phase I audit of a manufacturing site in Kentucky. Through examination of the company’s history, it was determined that an on-site RCRA wastewater storage unit had not been formally closed and that this issue represented a significant liability to the potential purchaser. After the acquisition, acting on behalf of the purchaser, Sciences directed the approximately half-million dollar RCRA clean-closure of the site.
Cost Allocation for Superfund Site. For a seller of a facility that was part of a Superfund site, Sciences estimated its share of the total remediation and penalty costs. This work required allocation of the potential costs using the ‘Gore’ factors as well as other methods of imputing liability to the various parties. Using Monte Carlo methods, we developed a distribution of costs that an insurance company relied upon in deciding to underwrite the risk. By transferring the risk to an insurance company for an identifiable price, the owners facility were successful in finding a willing purchaser. |
